CHBA-Edmonton Region Bylaws

At the November 6th, 2013, Canadian Home Builders' Association - Edmonton Region (CHBA-ER) Annual General Meeting (AGM),the following motions were approved, thus changing the Association Bylaws.

Motion #1

From:

1.02 Definitions l. “Member” or “Membership” means a person, firm, or corporation duly accepted by the Association, and includes: a designated representative, a shareholder, a director, an officer or an employee of a Member; 

To:

1.02 Definitions l. “Member” or “Membership” means a person, firm, or corporation duly accepted by the Association, and includes: a shareholder, a director, an officer or an employee of a Member; 

(“Designated representative” removed from definition, and to read that as an individual the person must be a shareholder, a director, an officer or an employee of a member company)

Motion #2

Add:

Section 4 – Board of Directors 4.04 Composition c.  The President may appoint up to two (2) Directors from membership at large.

(An appointment(s) allows the President to ensure stability in gaps in terms of Board and/or Industry experience)

Motion #3

Add:

Section 4 – Board of Directors 4.05 Terms. The term for the Presidential appointment(s) is one (1) year commencing after the Annual General Meeting.

(This is in keeping with the term of office for the President)

From:

Section 5 – Officers 5.01 Officers Positions. The Officers of the Association are:

  1. 1.       a.      The President
  2. 2.       b.      The Vice-President
  3. 3.       c.      The Secretary/Treasurer; and
  4. 4.       d.      The Executive Officer; ex officio and non-voting.

To:

Section 5 – Officers 5.01 Officers Positions. The Officers of the Association are:

  1. 1.       a.      The President;
  2. 2.       b.      The Vice-President;
  3. 3.       c.      The 2nd Vice-President;
  4. 4.       d.      The Secretary/Treasurer;
  5. 5.       e.      The Past President; and
  6. 6.       f.       The Chief Executive Officer; ex officio and non-voting.

(Add the position of 2nd Vice-President to allow for effective succession planning.  Add the position of Past President to allow for continuous continuity.  Change the title from Executive Officer to Chief Executive Officer to reflect like Industry positions)
